Actelis Networks to Acquire Exaware for AI-Driven Data Center Networks
Actelis Networks announced a binding memorandum of understanding on March 24, 2026, to acquire Exaware Ltd., based in Israel, in an all-stock transaction. This acquisition aims to strengthen Actelis's entry into the rapidly growing AI-driven data center network market. The deal combines Actelis's secure edge networking and hybrid fiber capabilities with Exaware's high-performance routing and switching platforms.

Actelis Networks is set to acquire Exaware Ltd. as part of its strategy to enter the AI-driven data center network market. The binding memorandum signed on March 24, 2026, will result in Actelis holding approximately 40% and Exaware 60% of the combined entity post-transaction.
The transaction, expected to close by May 7, 2026, involves the issuance of 19.9% of Actelis's common stock, with the remainder in non-voting preferred shares. The agreement includes a 60-day exclusivity clause and a termination fee. This acquisition aims to enhance network infrastructure for AI workloads.
