Jet.AI Withdraws IPO Registration, Announces Data Center Ventures in Nevada and Manitoba
Jet.AI Inc. has withdrawn its IPO registration statement for a proposed public offering, citing changed circumstances, and will not proceed with the offering. The company announced plans for a joint venture to develop a 50 megawatt data center in Moapa, Nevada, and has selected a site near Winnipeg, Manitoba, for another large-scale data center, while also modifying the conversion terms of its Series B convertible preferred stock.

Jet.AI Inc. (NASDAQ:JTAI) has withdrawn its registration statement for a proposed public offering of common stock originally filed on December 1, 2025, due to changed circumstances. No securities were sold related to the proposed offering, and the registration statement was not declared effective by the SEC.
The company will not proceed with the planned public offering. Additionally, Jet.AI announced a planned joint venture with Choo Choo Express LLC to develop a 50 megawatt data center campus in Moapa, Nevada, investing approximately $10 million over two years.
The company has also modified the conversion terms of its Series B convertible preferred stock with Ionic Ventures, allowing conversion at a lower price. Furthermore, Jet.AI, in partnership with Convergence Compute, has selected a site 10 miles south of Winnipeg, Manitoba, for a large-scale data center campus, strategically located with access to key infrastructure, and has largely completed the second phase of its Canadian data center projects, contributing $1.7 million to its joint venture with Consensus Core Technologies Inc.
