Technip Energies to Acquire Advanced Materials Catalysts Business from Ecovyst for $556 Million

HYDROGENCARBON CAPTURE

In a significant strategic move, Technip Energies has entered into a definitive agreement to acquire the Advanced Materials Catalysts business from Ecovyst Inc. for $556 million, an investment that underscores Technip's commitment to expanding its capabilities in catalyst technologies. This acquisition is not merely a financial transaction; it represents a calculated step towards fostering long-term growth and innovation within Technip's Technology Products and Services (TPS) segment.

The Advanced Materials Catalysts division, which includes advanced silicas and a joint venture in zeolite-based materials, is poised to enhance Technip's existing offerings in established markets like polyethylene and hydrocracking, as well as burgeoning sectors such as sustainable fuels production. Catalysts play a crucial role in accelerating chemical reactions and improving process efficiencies, making this acquisition a vital component of Technip's strategy to integrate advanced materials into its technology solutions.

CEO Arnaud Pieton emphasized that the acquisition aligns perfectly with Technip's disciplined approach to capital allocation, enhancing the company's technological platform and unlocking new avenues for market expansion. The deal is expected to be immediately accretive to earnings and cash flow, reflecting a pro forma EBITDA increase in the TPS segment from 39% to approximately 45% for 2024.

The anticipated closing of the transaction by the first quarter of 2026, pending customary regulatory approvals, will mark a new chapter for both companies. Ecovyst's CEO Kurt Bitting expressed confidence in Technip's ability to build upon the solid foundation that Advanced Materials Catalysts has established, ensuring continuity for clients and employees alike.

As the industry moves towards more sustainable practices, this acquisition positions Technip Energies as a leader in the development of integrated solutions for circular chemistry and carbon capture. With a workforce of 17,000 across 34 countries, Technip is committed to bridging the gap between prosperity and sustainability, aiming to create a lasting impact in the energy sector. The addition of Advanced Materials Catalysts is not only a testament to Technip's growth strategy but also a clear signal of its dedication to innovation and sustainability in the global market.
