NUBURU, Inc. has advanced its partnership with Tekne S.p.A. through the execution of a Network Contract, a €13 million convertible loan, and a 2.9% equity investment in Tekne. These agreements activate a strategic framework expected to generate revenue for NUBURU starting in fiscal year 2026 and aim for a controlling interest in Tekne, pending regulatory approvals.

The Network Contract creates a multi-jurisdictional industrial alliance covering the Americas, NATO countries, MENA, APAC, and Italy, focusing on defense and dual-use projects with defined revenue-sharing mechanisms. Initial projects identified exceed €10 million, with execution planned throughout 2026.

NUBURU's equity participation includes a potential increase to approximately 27.9% ownership following regulatory approvals. The agreements reflect a valuation of Tekne at approximately USD 60 million.
