Nukkleus Inc. to Acquire Star 26 Capital Inc. for Enhanced Defense Technology Position

Nukkleus Inc. has received stockholder approval for the acquisition of Star 26 Capital Inc., a defense-focused acquisition company, expected to close before December 31, 2025. This deal, announced on December 15, 2024, aims to provide Nukkleus with full ownership of Star 26 and its defense-related assets, enhancing Nukkleus's position in the military UAV and UAS value chain projected to reach $23 billion by 2030.

The acquisition will integrate unmanned platforms with AI, motion control, and command-and-control infrastructure, fostering collaboration among subsidiaries in AI, UAV systems, and GNSS technologies. Stockholders also approved the issuance of shares related to the Company's Series A Convertible Preferred Stock and a $250 million equity line, supporting Nukkleus's growth strategy through M&A while maintaining operational efficiencies across its portfolio.
