Phase Education, formerly Shape Robotics, is shifting its operational focus from developing edtech products to functioning as a holding company. This change follows a series of decisions made during an extraordinary general meeting, where the board received extensive powers for actions including capital increases and litigation pursuits, which could dilute existing shareholder stakes.
The company, now based in Copenhagen instead of Herlev, has been struggling with bankruptcy proceedings since January 2026. The board has also been authorized to seek compensation from previous management and Carnegie Investment Bank, introducing potential value but significant uncertainty. The lack of an appointed auditor raises concerns over financial reporting and company trust.
